Improving the Financial Performance of an Existing Business
This could involve any of the following:.
– Turnarounds or reinvigorating the performance of an underperforming company, division or business unit.
– Rationalising or improving the efficiency of manufacturing, warehousing or distribution facilities.
– Review of product profitability to determine viability of product lines, potential for volume growth or price increases and financial implications of terminating them.
– Review of product costing systems in a manufacturing environment to confirm accuracy of costings and the impact of sales volume on product and business profitability.
– Review of administrative and distribution overhead structure for potential savings by fine-tuning functional processes and systems.
– Crisis management. Unfortunately businesses can reach a point where urgent action is required to avoid a terminal outcome. Using an experienced interim manager who can take control, with minimal induction or supervision may be the most effective strategy
Taking an existing business to the next level
Successful mid- sized business owners often reach a point where they are so busy working “in” their business that they have no time to work “on” their business; or for the other important areas of their overall life experience, such as quality time with their family or for themselves.
We specialise in helping them to improve the financial performance of their business and working with them to take their business and their lifestyle to the next level.
We do that by helping them to unlock cash and profit already available in the business whilst I work with them to identify and implement opportunities and the critically important actions they must take to get the results they want. During that process we help them to understand how to work “on” their business, to become outstanding leaders of their companies and to lead a more balanced lifestyle. This will then be incorporated into a Strategic Business Plan for the next 3 years (5 years is too long in the current environment)
Mergers and Acquisitions
Negotiation of mergers and acquisitions is all about getting the optimal outcome/value from the vendor and clearly identifying and getting management commitment to realising the potential benefits identified. Once a merger or acquisition is concluded, the challenge is to act quickly to secure the projected savings or profit improvements that formed the basis for the transaction and purchase price. Historically, these benefits, have frequently failed to materialise.
Involving an external consultant with comprehensive experience, during the due diligence and negotiation phase, to build a strong business case and then to provide management with key information to negotiate the transaction, and once it is completed on achieving the projected savings or better, would maximise the likely $ benefits.
I have personally negotiated 3 acquisitions and 2 MBO’s and completed the integration or turnaround successfully. I was also responsible for realising the projected financial benefits of the Qantas acquisition of Australian Airlines.
In the case of divestments the objective is to achieve the best possible sale price; so preparing the company for sale is critical and, therefore, is often carried out over an extended period of time. A carefully crafted negotiating strategy and thorough preparation will positively influence the ultimate success of the transaction.
Preparation of Fund Raising Proposals
Raising funds for an acquisition or to fund growth requires the preparation of a comprehensive business case, including full financials (i.e. Cashflow, costs and P&L impact). A consultant with experience of similar transactions overseeing that process, working closely with management, will speed up the process and increase the likelihood of a successful outcome.
I have extensive fund raising experience, including raising $2.6 billion for Optus Communications, funding for 2 management buy- outs from venture capital providers, and a number of other businesses to fund their growth strategy.
Business Start-Ups and Reorganisations
The skills and experience required to establish a new business or restructure an existing business are usually greater and different to those needed to run that business on a day to day basis once it is fully operational.
Bringing in an experienced consultant with that expertise on a project basis is often the best strategy.
